Terms of use

December 2019 – The GAW Terms of Use (the “Terms”) is a contract in electronic form between you (“user”, “you”, “your” and “yourself”) and Green Asset Wallet AB (“GAW”). By registering, logging onto the GAW website or using the sites or services available at www.greenassetswallet.org (collectively, the “Services”), you agree to the terms and condition of these Terms. The Services are described at www.greenassetswallet.org. We reserve the right to change and update the Services without any notice.

1. Registration

To access the Services, the user will be required to complete a registration process and create an account (“Account”) by providing current, complete and accurate information as prompted by the registration form. Upon creating an Account on behalf of an organization you will personally represent that you have the authority to do so. User is responsible for any activities or actions under user’s Account, whether or not user has authorized such activities or actions, and user must promptly notify GAW of any unauthorized use of user’s Account. GAW reserves the right to refuse registration for any reason.

2. Use of the Services

To use our Services, you must: • Comply with these terms and all applicable law and regulations • Not participate in, facilitate or further illegal activities; • Immediately notify GAW if you learn of a security breach or other illegal activity on the Services; • Protect your Account name and password; • Not engage in activity that is harmful to GAW, our users, affiliates, or vendors; • Not use any automated process to access or use the Service or any process, whether automated or manual, to capture data or content from the Service or circumvent any mechanisms for preventing the unauthorized reproduction or distribution of the Service for any reason; • Not use the Service or any process to damage, disable, impair, or otherwise attack the Service or the networks connected to the Service; and To prevent violations and enforce these Terms and remediate any violations including engaging in any suspicious activity, GAW can take any technical, legal and other action that GAW deems, in our sole discretion, necessary and appropriate with or without notice to you including notifying any relevant government or regulatory authority. GAW grants to user a non-exclusive, non-assignable, non-transferable license to use the Services solely for user’s internal use.

3. Uploading content on the Services

You may post content (“User Content”) to the Services only if: (a) it is accurate; (b) it may be shared in public; (c) you created and own the rights to the content or you have the owner’s express permission to post the content; (d) the content does not infringe any other person’s or entity’s rights (including copyright, trademarks, or privacy rights) or violate applicable laws, these Terms, or any other posted policies and (e) it does not contain any personal data. The User Content may be shared with other users of the Services. GAW may, and reserves the right, to remove User Content or User Accounts that it determines in its sole discretion to be inaccurate, unlawful, violates any party’s intellectual property or is in conflict with these terms. As a user you need to be careful about uploading information that can be regarded as non-public or as insider information under applicable Market Abuse Regulation. GAW disclaims all responsibility for information that may be price-driven and/or otherwise affect an organization’s market value, reputation or brand. Any User Content that a user uploads on the public blockchain will be stored on the public blockchain and be accessible by other users of the Services.

4. Access

GAW strives to keep a high availability on the Service. However, planned or unplanned interruptions in the availability of the Service cannot be completely avoided. You are responsible for obtaining at your own expense all equipment and services needed to access the Services. GAW does not guarantee that the Services can be accessed through all devices.

5. Data Protection

When creating an account and maintaining the agreed features of the Services, GAW is processing your personal data as a data controller. For more information on how GAW process personal data please refer to our Privacy Policy available at www.greenassetswallet.org.

6. Change in service

User acknowledges and agrees that nothing in these Terms constitutes an undertaking by GAW to provide updates, modifications or enhancements to the Service or to continue providing the Service, or any aspect or portion of the Service, in the future. GAW may, in its sole discretion, change any aspect of a Service or discontinue a Service without notice.

7. Payment

The user agrees to pay GAW in accordance with the current price list and payment method.

8. Ownership

Trademark Rights The materials contained in the Services, including the works of authorship, content, design, text, graphics, images, audio, video, source code, information and data (collectively “GAW Content”) are owned, licensed, or controlled by GAW or its licensor as the owner, licensor, or provider of such GAW Content. The GAW Content may be protected by copyrights, trademarks, service marks, and/or other proprietary rights and laws. You may not copy, reproduce, transmit, display, perform, distribute, rent, sublicense, alter, store for subsequent use, create any derivative works from, offer products or services based on, or otherwise use in whole or in part in any manner the GAW Content without the prior written consent of GAW. Notwithstanding the preceding sentence, you are permitted to engage in activities involving the GAW Content to the extent that such activity is permitted in accordance with these Terms. Other brands or product names used on the website are trademarks and/or service marks of their respective owners, should be treated as such, and may be registered in various jurisdictions. In addition to the GAW Content, the Servics will include User Content, which will be owned by the users and its licensors.

9. Disclaimers

There are no standards of performance for the service. GAW and its providers provide the service and content “as is” and make no warranties or representations of any kind express, implied or statutory regarding use of the service or the accuracy, completeness or timeliness of the content. GAW and its providers disclaim the implied warranties of merchantability and fitness for a particular purpose. All information, including but not limited to financial information, is provided “as is” without warranty of any kind. GAW disclaims all express, implied, and statutory warranties of any kind to user and/or any third party, including warranties as to accuracy, timeliness, completeness, merchantability, or fitness for any particular purpose. GAW shall in no event be liable for any User Content.

10. Limitation of Liability

This limitation of liability does not include GAW’s willful tortious misconduct. If GAW is for any reason held liable to a user, or to any other individual or entity, including, but not limited to the user, whether in contract or in tort, the liability of GAW within a single year of the agreement is limited to the greater of: (1) one year’s charges, if any; or (2) 10 000,00 SEK. GAW shall not be liable to user or to any other entity or individual for (a) any loss of profits, revenues or data or for any damage to user’s equipment, (b) for any loss relating to the reliance or use of User Content uploaded by any other party, or (c) for any indirect, special, punitive, consequential or incidental loss or damage of any nature arising from any cause whatsoever, even if GAW has been advised of the possibility of such damage.

11. Force Majeure

Notwithstanding any other term or condition of these Terms, GAW shall not be obligated to perform or observe their obligations undertaken in these Terms if prevented or hindered from doing so by circumstances beyond its control, such as but not limited to war, acts of terrorist, embargo, currency restriction, breakdown of telecommunications, acts or omissions or governments and the like.

12. Indemnification

User will indemnify and hold harmless GAW and its employees, officers, directors, providers and other agents from any and all claims and losses imposed on, incurred by or asserted as a result of or related to: (a) any non-compliance by user with the terms and conditions hereof; or (b) any third-party actions related to user’s receipt and use of the Services and content, whether authorized or unauthorized under the Terms.

13. Term and Termination

These Terms may be terminated by user upon written notice to GAW. Upon notice to user, GAW may terminate these Terms at any time for any reason including, but not limited to, user’s breach of any term of these Terms.

14. Notices

All notices and other communications required under these Terms shall be in writing and shall be directed to: Green Asset Wallet AB, info@greenassetswallet.org.

15. Headings

Section headings are included for convenience only and are not to be used to construe or interpret these Terms.

16. Survival of Provisions

The terms of these Terms apply to those obligations that survive any cancellation, termination, or rescission, namely, obligations relating to, Ownership, Limitation of Liability, Consequential Damages, Indemnification, Warranties, Non-Use of Corporate Names and Marks, Confidentiality and Restrictions on use of the Services and content.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden. A dispute arising out of these Terms shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitration of the Arbitration Institute of the Stockholm Chamber of Commerce. Confidentiality shall apply to the proceedings as well as to any decision or verdict. The seat of arbitration shall be Stockholm. The language to be used in the arbitral proceedings shall be English, unless the parties have agreed otherwise.

18. Full agreement

These Terms constitutes the full agreement between the parties with respect to the subject matter hereof, and supersedes all prior negotiations, communications, writings, and understandings. GAW may modify these Terms from time to time. If you do not agree to the changes, stop using our Services (and remember to cancel any fee-based services) before the changes take effect. Your continued use of the Services after the effective date of any changes means that you agree to the changes. If a court of law finds that any provision of these Terms is invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
